How to Choose a Company Name in India
Build the Name to Pass the Test
A company name in India has to do two jobs: work as a brand, and survive the Registrar’s examination. The second is where most founders lose a week. The test sits in Section 4 of the Companies Act and in Rules 8, 8A and 8B of the Companies (Incorporation) Rules: the name must not resemble an existing company or LLP, must not be undesirable, must not clash with a registered trademark, and must not use restricted words without the required approval. Build it to pass that, then check your brand instincts against it.
The structure that works
Most names that clear the Registrar follow the same shape: a distinctive word, plus a word describing the activity, plus the mandatory suffix.
Distinctive word. Invented, abstract or unusual. This is the part doing the work.
Activity word. Technologies, Foods, Logistics, Healthcare, Consulting. It tells the Registrar what you do and it must be consistent with the objects in your memorandum.
Suffix. “Private Limited” for a private company. It is not optional and it is not part of your distinctiveness.
A name built entirely from generic words is the most common cause of rejection, because something resembling it almost certainly exists already.
What gets rejected
Resemblance to an existing name. The test is not only identical spelling. Differences that do not change how a name sounds or reads, plurals, spacing, a changed article, a different tense, the addition of a generic word, are generally disregarded when comparing. “Sharma Foods Private Limited” will not clear if “Sharma Food Private Limited” exists.
Trademark conflict. A name that matches a registered trademark, or one for which an application is pending, will be refused unless you have the proprietor’s consent. This catches people constantly, because they check the MCA database and stop there.
Undesirable names. Names that are offensive, misleading about the scale or nature of the business, or that suggest a connection with a government body. A name implying patronage by the Central or a State Government will not pass without approval.
Restricted words without clearance. Words such as Bank, Banking, Insurance, Stock Exchange, Mutual Fund, Venture Capital and Asset Management require a declaration or clearance from the relevant sector regulator. Words suggesting national or governmental standing, National, Union, Central, Federal, Republic, and words such as President or Prime Minister, require Central Government approval.
Names of struck-off or dissolved companies, which are blocked for prescribed periods.
A name inconsistent with your objects. If the name says Pharmaceuticals and the memorandum describes a logistics business, expect a query.
The check almost everyone skips
Search the trademark register, not just the MCA database.
The two are separate systems. A name can be absent from the MCA database and still be a registered trademark belonging to someone else, in which case your application fails, and even if it somehow cleared, you would be building a brand on a name you can be forced to stop using. Search the Indian trademark register for your proposed name, in the classes relevant to your activity.
If someone else holds the mark and you want the name anyway, you need their no objection. That is a negotiation, not a filing.
A practical approach
Generate five to eight candidate names with a genuinely distinctive first word.
Drop anything built only from generic descriptive words.
Search each on the MCA company and LLP database.
Search each on the trademark register, in your classes.
Check domain and social handle availability, because a name you cannot use online is a problem you will have for years.
Check that no restricted word is present without the clearance it needs.
Rank the survivors and file your top choices.
Always have a second and third name ready. The cost of a rejected name is not the fee, it is the week.
Changing the name later
A company can change its name after incorporation, through a shareholder resolution and a filing, with a fresh name approval that must pass the same tests. It is possible, and it is more disruptive than it sounds once you have bank accounts, GST registration, contracts and signage in the old name. Choose as though you will keep it.
